PREAMBLE

The seller publishes and markets products and services based on CBD with a THC content below 0.2%, sold via its website (https://cbddiscount.co.uk/). The list and description of the goods and services offered by the company can be consulted on the aforementioned site as well as its public pages.

ARTICLE 1 - DEFINITIONS

1.1 “GTC” refers to these General Terms and Conditions of Sale governing any distance sale between JERYCAN AND PARTNERS and the CLIENT. They apply exclusively to online sales of products listed on the site www.cbddiscount.co.uk, which is freely and gratuitously accessible to any internet user.

1.3 “CLIENT” means any natural person of legal age or legal entity seeking the services of the PROVIDER. The person or company signing these GTC (signature) guarantees payment of the invoice even if it must be issued in the name of a third party.

1.4 “WEBSITE” refers to the website of JERYCAN AND PARTNERS, https://cbddiscount.co.uk/, where these GTC are presented.

1.5 “PRODUCT” refers to any item marketed by JERYCAN AND PARTNERS.

ARTICLE 2 - ENFORCEABILITY OF THE GTC

2.1 The GTC exclusively govern online sales contracts for JERYCAN AND PARTNERS products to clients and, together with the online order, form the contractual documents enforceable against the parties, to the exclusion of any other documents, brochures, catalogues, or product photographs, which are for information purposes only.

2.2 The GTC apply exclusively to products delivered to clients located in mainland France, the overseas territories, and/or a member country of the EU.

2.3 The GTC and all contractual information on the site are written in French.

2.4 The GTC are made available to consumers on the seller’s website, where they can be consulted directly.

2.5 The GTC are enforceable against the client, who acknowledges, by ticking a box provided for this purpose, that they have read and accepted them before validating the order.

Order validation by confirmation constitutes the client’s adherence to the GTC in force on the order date, the storage and reproduction of which are ensured by the professional seller in accordance with Article 1127-2 of the Civil Code.

2.6 JERYCAN AND PARTNERS reserves the right to amend its GTC at any time. In the event of amendment, the applicable GTC are those in force on the date of the order, a dated copy of which may be provided at the client’s request.

2.7 The invalidity of a contractual clause does not entail the invalidity of the GTC, unless it is a decisive clause that led one of the parties to enter into the sales contract. Temporary or permanent non-application of one or more clauses by JERYCAN AND PARTNERS shall not constitute a waiver of the other clauses, which shall continue to apply.

ARTICLE 3 - PRODUCTS

3.1 Each product offered for sale in the online catalogue on the site is described with its essential characteristics within the meaning of Article L. 111-1 of the French Consumer Code. The method of use, where essential, is stated in the electronic catalogue or at the latest upon delivery.

3.2 Product photographs are not contractual documents.

3.3 Products are offered and delivered subject to availability of stock.

3.4 The Client may obtain a detailed description of each product offered for sale by “JERYCAN AND PARTNERS” on the Website by clicking on the product. Pursuant to Article L. 111-1 of the Consumer Code, the Client can review the essential characteristics of the products before ordering.

3.5 Products offered for sale on the Website are subject to availability from “JERYCAN AND PARTNERS”.

3.6 “JERYCAN AND PARTNERS” reserves the right to modify the catalogue of products offered for sale on its website. Orders placed before such modifications will be honoured.

3.7 Products sold on the website comply with French legislation in force at the time they are placed on sale.

ARTICLE 4 - PRICE

4.1 Sales prices are indicated, for each product in the electronic catalogue, in euros including all taxes, excluding delivery and transport charges.

4.2 The product sale price is that in force on the day of the order.

4.3 Delivery and transport charges are stated before order validation and billed in addition, unless the order exceeds an amount previously announced on the “Delivery and Payment” page of the WEBSITE.

4.4 In the event of promotional pricing, JERYCAN AND PARTNERS undertakes to apply the promotional price to any order placed during the promotion period as advertised.

4.5 JERYCAN AND PARTNERS reserves the right to change its prices at any time while guaranteeing the client the application of the price in force on the day of the order.

4.6 For deliveries to the French overseas departments and territories, VAT is not applicable; customs duties may, however, be payable.

ARTICLE 5 - OFFER

5.1 Online sales offers presented on the WEBSITE are reserved for CLIENTS residing in mainland France / overseas territories and/or in a member country of the European Union, with deliveries in these same areas.

5.2 Online sales offers on the WEBSITE are valid, unless otherwise stated, as long as the products appear in the electronic catalogue and while stocks last.

5.3 The CLIENT’s acceptance of the offer is confirmed, in accordance with the double-click process, by order confirmation.

ARTICLE 6 - CLIENT ACCOUNT

Before placing an order on the site, the Client may create a client account. To do so, the Client must complete a form in the “My Account” section with their information and undertakes to provide accurate information and not to impersonate any third party nor misrepresent their age.

The Client provides, in particular, an email address and a password to log in later. The username and password are personal, and the Client undertakes not to disclose them.

ARTICLE 7 - ORDER

7.1 Access to sales via the Website is strictly reserved for Clients who are at least 18 years old and have legal capacity to conclude sales contracts.

7.2 In no event may resellers or wholesalers—or, more generally, any parties intending to purchase Products for resale—make purchases on the Website. Such parties are therefore prohibited from registering on the Website and from making purchases on the Website.

7.3 Steps to conclude the contract: To place an order, the client fills their virtual basket by indicating the selected products and desired quantities, then clicks the “Order” button and provides delivery and payment information.

Before clicking “Order,” the client may check the order details and total price and return to previous pages to correct any errors or modify the order.

The sales contract is formed when the client sends the order confirmation.

7.4 Order modification: Any order modification by the client after confirmation is subject to acceptance by the professional seller.

7.5 Order confirmation: An email acknowledging receipt of the order and payment is sent by JERYCAN AND PARTNERS as soon as possible.

JERYCAN AND PARTNERS reserves the right to refuse any order for legitimate reasons, particularly if the quantities ordered are abnormally high for clients acting as consumers; to refuse or cancel orders from a client with whom there is an ongoing legal dispute; from a client who has previously breached these GTC and/or the terms of a purchase contract with “JERYCAN AND PARTNERS”; or from a client involved in fraud of any kind, especially fraud related to credit card payments.

7.6 Archiving: Communications, order forms, and invoices are archived on a reliable and durable medium to constitute a faithful and lasting copy in accordance with Article 1360 of the Civil Code. These documents may be produced as evidence of the contract.

ARTICLE 8 - PAYMENT

The price of the products is payable in full after order confirmation.

8.1 All product prices are indicated in Euros (€) and include Value Added Tax (“VAT”) in accordance with Article L. 112-1 of the Consumer Code. Shipping fees and any other additional charges, VAT included and expressed in Euros (€), will be indicated separately on the order form before the client submits it.

8.2 The price of the Products may be changed by “JERYCAN AND PARTNERS” at any time without notice, it being understood that the price charged to the Client will be that published on the product information sheet (“Product Page”) at the time the order is sent.

Any price change (upward or downward) after the order has been submitted will not be taken into account.

8.3 Payment for Products may be made by credit card or using WeldPay and VivaWallet services. If any of these payment methods/solutions cannot be used for a specific Product, this will be clearly indicated on the Website at the latest at the start of the purchase process.

8.4 A payment receipt will be issued automatically for each purchase. For the first purchase, the Client will be asked to provide the header details for the receipt. For issuance, the information provided by the Client—which they declare and warrant to be true—will be used; the Client undertakes to hold “JERYCAN AND PARTNERS” harmless from any damage, including penalties imposed by competent authorities, arising from any inaccuracy.

8.5 Payment security: Our site uses security systems to protect payments.

8.6 Non-payment: If full payment is not made within ten days, the contract will be deemed automatically terminated.

ARTICLE 9 - DELIVERY

9.1 Delivery of the products ordered will take place after payment, to the address provided by the Client. The Client must therefore provide “JERYCAN AND PARTNERS” with a valid and accurate delivery address.

9.2 Delivery times: JERYCAN AND PARTNERS undertakes to deliver the products within the time indicated on the order validation page, namely:

Your order will be prepared and dispatched within 24 to 48 hours depending on the delivery method you choose.

These timeframes do not apply in cases of force majeure or unforeseen circumstances.

9.3 Delivery charges

Delivery charges are borne by the client, unless the order exceeds an amount previously determined according to the pricing grid available on www.cbddiscount.co.uk. Delivery terms will be specifically indicated during the purchase process and in the order summary, and in all cases before the Client submits the order. They will also be stated in the order confirmation.

9.4 Delivery methods: Products are delivered to the address indicated by the client on the order form.

All products available on the site are shipped from France (except special requests). They can be shipped within mainland France (including Corsica and Monaco), the overseas departments and territories, and throughout Europe, including Belgium, Switzerland, and Luxembourg.

9.5 Product conformity: The delivery obligation is fulfilled by transferring the availability of the goods to the user.

It is the Client’s responsibility to check the condition of the Product that has been delivered/collected. The Client is invited to verify the number of Products received and that the packaging is intact, undamaged, and unaltered, and, in their own interest, to note any anomaly on the carrier’s delivery document.

Since La Poste is no longer the market leader, it cannot guarantee proper receipt of parcels.

Private companies now have access to mailboxes. In this sense, JERYCAN AND PARTNERS shall not be held responsible for proper receipt of your parcel in the event of loss or theft.

9.6 Responsibility for loss or damage to products is transferred when the Client or the order’s recipient takes physical possession of the delivery.

9.7 The Client acknowledges and agrees that failure to follow the steps described in the previous article results in the loss of the right to a refund or rescheduled delivery, without prejudice to the right of withdrawal under Article 10 of these General Terms of Sale.

9.8 Delivery delay: If delivery has not occurred within 30 days from the online order date, the client may request a refund within 30 days. This period does not apply in cases of force majeure.

9.9 Failure to deliver: Total failure to deliver results in automatic termination of the sales contract and reimbursement of the price paid, including delivery charges. A delivery incident shall not be considered a failure to deliver.

ARTICLE 10 - STATUTORY CONFORMITY GUARANTEE AND HIDDEN DEFECTS WARRANTY

All products supplied by JERYCAN AND PARTNERS benefit from the statutory conformity guarantee provided for in Articles L. 217-4 et seq. of the Consumer Code, or the warranty against hidden defects provided for in Articles 1641 et seq. of the Civil Code.

The French law applicable to the contract cannot have the effect of depriving a client residing in another Member State of the provisions on guarantees granted by their national law pursuant to the Directive of 25 May 1999 on the sale of consumer goods and associated guarantees.

JERYCAN AND PARTNERS is liable for hidden defects of the item sold that render it unfit for its intended use, or that so diminish this use that the client would not have acquired it, or would have paid a lower price, had they known of them.

The client may decide to invoke the warranty against hidden defects within the meaning of Article 1641 of the Civil Code. In this case, they may choose between rescission of the sale or a reduction in the sale price in accordance with Article 1644 of the Civil Code.

ARTICLE 11 - RIGHT OF WITHDRAWAL AND RETURN OF ORDERED ITEMS

In accordance with Articles L. 221-5 et seq. of the Consumer Code, the client has a period of 14 days from receipt by themselves or a third party of the ordered items to exercise their right of withdrawal without having to give reasons or pay penalties.

To exercise the right of withdrawal for an Order, the Client must inform “JERYCAN AND PARTNERS” of their decision before the Withdrawal Period expires. Simply send an email (contact@cbddiscount.co.uk) or complete the withdrawal form. Return all or part of your order; upon receipt, we will process the refund.

Returned products must be new, unused, and, where applicable, in their original box. Any item returned used and/or damaged by the client will not be accepted. The return is made after receipt and confirmation of the claim by GROW QUALITY SA.

It is the client’s responsibility to retain proof of return.

The Client will be refunded the full amount of their order, at the invoiced price, excluding delivery charges, within 15 days from receipt by JERYCAN AND PARTNERS of the returned order. The refund will be made using the same payment method as for the initial transaction.

If the return is refused by JERYCAN AND PARTNERS for the reasons set out above, the products will be returned to the client at their expense, without the client being entitled to any compensation or refund, without prejudice to the later exercise of warranty rights on the products sold.

ARTICLE 12 - COMPLAINTS

ARTICLE 13 - INTELLECTUAL PROPERTY

The content of the site www.cbddiscount.co.uk, the general structure, as well as the software, texts, images (animated or otherwise), photographs, know-how, and all other elements making up the site are the exclusive property of JERYCAN AND PARTNERS or its partners who have granted it a licence. Any full or partial representation of this site by any person whatsoever, without the express authorisation of JERYCAN AND PARTNERS, is prohibited and constitutes infringement sanctioned by the French Intellectual Property Code.

The distinctive signs of JERYCAN AND PARTNERS and its partners, such as domain names, trademarks, trade names and logos appearing on the site, are protected by the French Intellectual Property Code.

Any full or partial reproduction of these distinctive signs from elements of the site without the express authorisation of JERYCAN AND PARTNERS is therefore prohibited.

ARTICLE 14 - FORCE MAJEURE

Performance in whole or in part by “JERYCAN AND PARTNERS” of its obligations will be suspended in the event of an unforeseen event or force majeure, in accordance with Article 1218 of the Civil Code, likely to invalidate or delay performance.

In the event of force majeure as defined by current case law, performance of JERYCAN AND PARTNERS’ services shall be suspended in whole or in part. Force majeure means any external, unforeseeable, and irresistible event preventing JERYCAN AND PARTNERS from performing its contractual obligations.

If an event constituting force majeure occurs as defined above, JERYCAN AND PARTNERS undertakes to notify the client as soon as possible.

ARTICLE 15 - APPLICABLE LAW

This contract and the GTC governing it are subject to French law, without prejudice to the mandatory rules of the consumer’s country of residence.

Failing an amicable agreement, any dispute relating to the existence, interpretation, conclusion, performance or termination of the contract, as well as all related documents, shall fall within the jurisdiction of the French judicial court and/or commercial court.
